Any bangs in device manager? (yellow circle redx). What about event viewer, anything logged for today?

Is the modem on the hcl? (microsoft.com/hcl). WHen you upgraded did the upgrade report say anythinga bout the modem? (windows/upgrade.txt). If it's pcmcia you could use add/new hardware wizard to detect it, but if it's plug and play you should use device manager to find it. Since the driver is unsigned, who knows if it'll work or not. Are the drivers you downloaded specifically for windows xp, or maybe windows 2000? Can you try a windows 2000 driver? Also make sure you go through the wizard, if you just cancel the wizard on startup itll keep coming up.

You could try using system restore. That file sounds like a easy cd creator file.
